Terms and conditions
Last updated: 3 November 2026
These terms and conditions apply to all offers, quotations and agreements between Savage Software ("we") and its clients ("client") for services and the delivery of software development, consultancy and related services. This is a translation: if it differs from the Dutch text, the Dutch text prevails.
1. Applicability
These terms apply to all quotations and agreements unless agreed otherwise in writing. Deviating terms of the client apply only if we expressly accept them in writing.
2. Quotations and offers
Quotations are without obligation unless stated otherwise. A quotation lapses after the period of validity stated in it. We may refuse assignments or set additional conditions.
3. Carrying out the assignment
We carry out assignments on the basis of the agreed specifications and planning. We may make small changes in scope; larger changes are agreed in writing and may lead to an adjustment of price and planning.
4. Delivery and acceptance
Delivery takes place on the basis of the agreed acceptance criteria. The client must test within a reasonable period and report any defects. If no acceptance procedure has been agreed, delivery is deemed tacitly accepted unless the client reports defects in writing within 14 days.
5. Prices and payment
All prices exclude VAT and other levies unless stated otherwise. Payment terms and invoicing are set out in the quotation or agreement. In the event of late payment the client is in default by operation of law, and we are entitled to charge statutory interest and collection costs.
6. Intellectual property
Unless agreed otherwise, we retain the copyright and exploitation rights to generic components, frameworks and tools developed by us. For custom deliverables, the client is granted a right of use as described in the agreement after payment in full. We retain the right to reuse general knowledge and experience for other projects, provided no confidential or client-specific data is disclosed.
7. Confidentiality
The parties treat as confidential all information they exchange in the course of the assignment that has been designated as confidential or whose confidential nature is apparent. This obligation remains in force after the agreement ends.
8. Liability
Our liability for direct damage resulting from an attributable failure to perform the agreement is limited to the amount paid out in the case in question under our professional or business liability insurance or, failing that, to the net invoice amount of the assignment concerned over a maximum of 12 months. We are not liable for indirect damage, consequential damage, loss of profit or loss of data.
9. Force majeure
In the event of force majeure, each party is entitled to suspend its obligations or to dissolve the agreement without any obligation to pay damages. Force majeure means all external causes that temporarily or permanently prevent the obligations from being performed.
10. Termination
Both parties may terminate the agreement as provided in the agreement. On termination or dissolution, the claims to payment and damages accrued up to that moment remain.
11. Applicable law and disputes
All agreements are governed by Dutch law. Disputes are first settled by consultation; if necessary, they are submitted to the competent court in the Netherlands.
12. Changes
We reserve the right to change this document. Changes are published on this page with an updated date and take effect as soon as they are published.
